What does it do?
- The Act governs infrastructure and service projects built through public-private partnership (PPP) or wholly private investment. Responsibility depends on size: local governments handle projects within their remit, provincial governments theirs, federal ministries federal projects up to Rs 6 billion (or hydropower and energy up to 200 MW), and the Investment Board Nepal anything larger. PPP may take forms such as build-operate-transfer, lease-operate-transfer or rehabilitate-operate-transfer; projects that transfer no real risk to the private side, or that concern national security, may not be done as PPP. Nepal Law Commission Section 2(b), p. 4; Sections 3–4, pp. 4–5; Sections 17–18, pp. 15–16
- The Investment Board, chaired by the Prime Minister with the Finance Minister as vice-chair, other ministers, the National Planning Commission vice-chair, the Nepal Rastra Bank governor, the Chief Secretary and three experts (at least one a woman), approves large investments and sets PPP priorities; its office, led by a chief executive officer, includes PPP and investment-promotion directorates and a one-stop service centre where agencies must post staff with decision-making authority to give registrations, permits, visas, land and environmental approvals. Nepal Law Commission Sections 5–8, pp. 5–9; Sections 10–15, pp. 10–15; Section 46, pp. 25–26
- Agencies must identify and get approval for PPP projects, publish the list, and select investors competitively through expressions of interest and proposals evaluated on technical merit, royalty and user charges. Unsolicited proposals may be accepted and put to a 'Swiss challenge'; direct negotiation is allowed if two rounds of competition fail or for reasons such as new technology or national priority. Selected investors receive a licence and sign a project agreement, which can be cancelled for breach. Nepal Law Commission Sections 20–31, pp. 16–21; Sections 37–39, pp. 21–23
- Licensed projects get the incentives available under other laws plus any the Board recommends, a Viability Gap Fund for important but not immediately profitable projects, and guarantees: no nationalisation, no expropriation except for public purpose with due process, protection from later adverse legal or policy changes during the licence, and foreign-exchange conversion for repaying foreign loans and repatriating returns. Investors must arrange land themselves (with facilitation), pay royalty and hand the project back in working condition at the end. Disputes with foreign investors go to negotiation and then arbitration in Nepal under UNCITRAL rules unless agreed otherwise. Nepal Law Commission Sections 41–45, pp. 24–25; Section 47, p. 26; Sections 54–56, p. 29; Section 65, p. 32
Gaps, loopholes and improvement ideas
- Capacity Projects are put to investors without proper preparation. Section 8 makes the Board responsible for collecting project details, studying projects and preparing the project list. The Auditor General found that the Investment Board office had been inviting expressions of interest and proposals without detailed project studies, and investor interest was low: of 19 projects showcased at the third investment summit (Baisakh 2081), only two drew expressions of interest. Office of the Auditor General, Nepal · Nepal Law Commission OAG 62nd report, OPMCM chapter (Investment Board), para 31, printed p. 92 (PDF p. 122); PPP Act s. 8, pp. 6–9
- Capacity Some approved projects have not yet moved forward, mostly over land. The Auditor General reported that the Board had approved Rs 1,293 billion of investment in 38 projects (11 non-energy, 27 energy), but only two cement plants were producing and three hydropower projects (Arun 3, Upper Trishuli 1, Upper Karnali) were under construction. Problems listed included unresolved land-ceiling exemptions and leases of government and forest land (Arun 3, Upper Karnali), pending land acquisition (Lower Arun), unclear hedging liability (Upper Myagdi 2), unappointed negotiating-committee members (a Kapilvastu–Banke solar project) and lack of coordination among Kathmandu Valley local levels on an integrated waste-management project. Office of the Auditor General, Nepal · Nepal Law Commission OAG 62nd report, OPMCM chapter (Investment Board), para 32 and project table, printed pp. 93–94 (PDF pp. 123–124); PPP Act ss. 4(1)(d), 46–47, pp. 4, 25–26
- Not enforced Competitive licensing of energy projects under the Act has not delivered. The Auditor General noted that although projects in the Department of Electricity Development's project bank were to be licensed to private developers competitively with an upfront fee under the PPP and Investment Act, the projects had not been implemented that way. Office of the Auditor General, Nepal · Nepal Law Commission OAG 63rd report, Ministry of Energy, Water Resources and Irrigation chapter (Department of Electricity Development), project bank paragraph, printed pp. 207–208 (PDF pp. 239–240); PPP Act ss. 23–27, pp. 17–18
