What does it do?

  • At least one year before a telecom service licence expires, the Telecommunications Authority must tell the licensee and publish a notice in a national daily and on its website. If a licence is automatically cancelled or revoked, the notice must be published immediately. From the day a licence lapses, the provider must not run the service unless the Authority directs it to. Nepal Law Commission Rules 3(1)-(3) and 4, PDF pp. 2-3
  • After the notice, the licensee must settle its debts at least six months before expiry: royalty, taxes and fees owed to federal, provincial and local governments, utility bills, Authority fees, staff pay, gratuity and provident fund, secured loans and rent. The Authority may allow up to three more months. The provider must not pledge, mortgage or sell its property after the notice. Assets that will pass to the government cannot be transferred without Authority approval from three years before expiry; any such transfer is void. Nepal Law Commission Rules 5(1)-(5) and 6(1)-(3), PDF pp. 3-4
  • A provider whose licence will expire must give the Authority a transfer plan at least two years ahead, listing its land, buildings, equipment, frequencies, network, subscribers and liabilities. A provider with more than 50 percent foreign investment must hand over its assets and network in working order. One with up to 50 percent foreign investment must tell the Authority a year before expiry whether it will take a new licence and, if not, hand over what is needed to keep the service running. Nepal Law Commission Rules 7(1)-(2), 9(1)-(2) and 17(1)-(2), PDF pp. 4-6, 11-12
  • The government, after consulting the Authority, forms a five-member valuation committee of valuers, chartered accountants and sector and legal or management experts. People tied to the provider cannot serve, for example anyone who audited it in the last three years or whose family member works for it. The committee values the assets on book and market value, depreciation, goodwill, frequencies, revenue and other listed bases, within at most six months, which the Authority may extend by three. Nepal Law Commission Rules 11, 12(1)-(2), 13(1)-(6), 14(1)-(2) and 15, PDF pp. 7-10
  • If a licence is cancelled or revoked, the Authority takes control of the provider's assets and network; a management group keeps the service running, or customers are moved to another provider. Providers that did not renew under Section 25(2)-(3) of the Act, mobile or voice service providers, and their investors may not bid. Frequencies a provider used revert to the government when its licence ends. Nepal Law Commission Rules 18(1), 20(1), 22, 24(1)-(2), 30(1), 31(1) and 33(1), PDF pp. 12-18
