What does it do?
- These Rules put the Cooperatives Act, 2074 into practice. They were first gazetted on 2076-01-23 and amended by the Cooperative (First Amendment) Rules, 2083 (gazetted 2083-06-05). A cooperative registers with the local government if it works within one local level, with the province if it covers more than one local level, and with the federal government if it works across provinces. A primary cooperative's working area is normally limited to one local level, and can be widened only on set business grounds once it has reached adequate membership and services in its current area. Nepal Law Commission Title page and preamble, PDF p. 1; Rule 9(2) and Rule 10(1)-(3), PDF p. 8
- New savings-and-credit cooperatives are capped by population: no more than one per 5,000 people in each ward of a metropolitan or sub-metropolitan city, one per 2,000 in a municipality and one per 500 in a rural municipality; those above the cap had to merge within three years. Under the 2083 amendment, savings-and-credit cooperatives licensed by the Authority must renew the licence within three months after each fiscal year, paying Rs 1,000 to Rs 15,000 depending on assets; a licence not renewed for two years in a row is automatically suspended, and cooperatives declared problematic cannot renew. Nepal Law Commission Rule 7(1)-(3) and Rule 7A(1)-(7) (added by the First Amendment, 2083), PDF pp. 6-7
- Members' money: a member who leaves must be paid the face value of their shares, unpaid dividends and protected-capital refunds within 30 days of the audit report for that year being passed (reduced proportionately if the cooperative has accumulated losses), and savings must be repaid with interest on demand (fixed-term savings at maturity). The reference interest rate committee should keep the gap between savings and loan rates below six percentage points and publish the rate in a national daily. Nepal Law Commission Rule 23(2) and (7), PDF pp. 19-20; Rule 24(1)-(3), PDF p. 20
- Each year a cooperative must put at least 25% of its net surplus into the reserve fund, then at least 25% of the remainder into the protected-capital refund fund and 0.5% into the Cooperative Promotion Fund, and at least 5% each into further funds such as education, staff bonus (capped at three months' pay) and loss-compensation funds. It must keep set registers and accounts; a cooperative with assets above Rs 50 million must also keep them in approved accounting software, and every cooperative must enter its business data into the management information system set by the Department of Cooperatives. Nepal Law Commission Rule 27(1)-(2), PDF p. 23; Rule 28(1)-(5), PDF pp. 23-24
- Supervision: Nepal Rastra Bank may inspect cooperative banks and cooperatives with more than Rs 500 million in savings-and-credit business, and the Registrar must arrange for its recommendations to be implemented. The 2083 amendment added a chapter on the National Cooperative Regulatory Authority (राष्ट्रिय सहकारी नियमन प्राधिकरण), which, among other things, handles complaints including misappropriation of savings, assesses audit reports, internal controls and risk management of savings-and-credit cooperatives, and supervises them under its own and Nepal Rastra Bank directives; inspections must give priority to cooperatives with problems or complaints. Nepal Law Commission Rule 71(1)-(2), PDF p. 42; Rule 72(1)-(5) (as amended 2083), PDF pp. 42-43; Chapter 13A, Rule 73A, PDF pp. 44-45
Gaps, loopholes and improvement ideas
- Not enforced Most cooperatives do not keep their data in the national cooperative information system (COPOMIS). The Auditor General notes that Rule 28(3) requires cooperatives with assets above Rs 50 million to keep records in the Department's software, and (in its earlier report) that Rule 72(2), as it then stood, required savings-and-credit cooperatives to join COPOMIS within one to three years. Of 32,965 registered cooperatives, 19,348 (58.69%) had entered data only once and only 13,553 (41.11%) entered aggregate data in FY 2081/82; the year before the figures were 18,677 of 31,450 (59.38%) and 13,335 (42.40%). Office of the Auditor General, Nepal · Office of the Auditor General, Nepal OAG 63rd Annual Report, Ministry of Land Management, Cooperatives and Poverty Alleviation chapter (Department of Cooperatives), para 39, printed p. 307 (PDF p. 339); OAG 62nd Annual Report, same ministry, para 32, printed p. 346 (PDF p. 376)
- Not enforced Most cooperatives do not pay into the Cooperative Promotion Fund. Rule 27(1) (following Section 70(2) of the Act) requires 0.5% of the surplus left after the reserve fund to go to the Fund. The Auditor General found that most of the country's 32,965 cooperatives had not paid in, that the Fund's secretariat books receipts in lump sums from bank statements so it cannot tell which cooperatives paid, and that the Fund's accounts have not been audited. Office of the Auditor General, Nepal · Nepal Law Commission OAG 63rd Annual Report, Ministry of Land Management, Cooperatives and Poverty Alleviation chapter, para 16, printed pp. 295-296 (PDF pp. 327-328); Rule 27(1), PDF p. 23
Ideas to fix it
- Implement COPOMIS in all cooperatives and link the three levels of government to it; keep up-to-date records of who pays into the Cooperative Promotion Fund, monitor payments and have the Fund audited. Proposed by: Office of the Auditor General Office of the Auditor General, Nepal · Office of the Auditor General, Nepal
- Limit the working area of each savings-and-credit cooperative to one local level, stop new cooperatives and new branches for now, and set a single-borrower limit so that total loans to one person do not exceed 10% of the cooperative's share capital. (The Commission proposes these as legal changes generally; it does not cite these Rules by number. Rule 10 currently allows working areas to be widened on set grounds.) Proposed by: High-Level Economic Reform Commission High-Level Economic Reform Commission (उच्चस्तरीय आर्थिक सुधार सुझाव आयोग), submitted to the Ministry of Finance
