Summary updated 2026-10-25

  • This is a historical summary of the Securities Business (Transactions) Rules, 2050, using the Law Commission's consolidated edition. Its first page gives the Nepal Gazette publication date as 2050/2/13 and lists two amending rules: the first amendment of 2052 (published 2052/8/25) and the second amendment of 2054 (published 2054/11/25). The Government made the rules under section 34 of the Securities Transactions Act, 2040, and they came into force at once. A closing note says rule 19 of the 2052 first amendment repealed the Securities Listing Rules, 2040. The catalogue records these rules as repealed, based on the Law Commission's repealed-laws listing. This edition does not say when or by what they were repealed, and no repeal date is inferred. Nothing here is current guidance on investing or on the securities market. Nepal Law Commissionनेपाल कानून आयोग Source accessed 2026-10-25 Title page, amendment list, preamble and rule 1, PDF p.1; closing note on the 2052 first amendment rule 19, PDF p.30; repeal status from catalogue
  • The rules gave the Securities Board duties on top of those in section 5 of the Act. It was to implement government policy on securities transactions and supervise the market and securities businesses. It set the conditions they had to follow when issuing, selling and exchanging securities, approved the stock market's bylaws, and arranged for investors to see information from registered or listed bodies. It was also to keep the market healthy, competitive, regular and orderly. The chair ran day-to-day administration, convened and chaired meetings and had a casting vote. The Board had its own fund, held in a commercial bank. The fund took in grants, registration and licence fees, a share of the stock market's transaction fees and fees from securities businesses; foreign grants needed government approval first. The Board also kept an endowment fund whose principal could not be spent, and its accounts were audited by the Auditor General or an auditor the Auditor General appointed. Source accessed 2026-10-25 Rules 3-11, PDF pp.2-6
  • To run a stock market, an organised institution applied to the Board with its constitution, details of its founders and chief executive, and a feasibility study with at least three years of projected accounts. A licence was granted only if shareholders had limited liability and no profit was distributed to them. Apart from the Government, Nepal Rastra Bank or other bodies the Government named, only securities businesses could be members or shareholders. The market also needed sound finances and bylaws on membership, discipline, listing and delisting, investor information, and preventing false information and fraud. Investors' deposits also had to be kept out of other businesses. A licensed market reported to the Board, filed an annual report within three months of each fiscal year and paid a yearly licence fee within six months, or lost the right to operate. If it failed to correct its conduct within the time given, the Board could suspend its licence for up to six months and then revoke it. Source accessed 2026-10-25 Rules 12-16, PDF pp.6-11
  • To issue securities, a body first registered them with the Board. The application included its constitution, a prospectus and details of the type, number and value of the securities, special rights, any premium or discount, three years of audited and projected accounts, and the founders and directors. At least two directors had to certify these papers and were personally and jointly responsible for them. Once the securities were registered, the Board granted an issue permit, possibly with conditions. A body raising funds for an industrial venture without a bank appraisal had to have the issue underwritten by a securities business. Sales had to go through a securities business under a written agreement, and founders holding more than five per cent had to tell the Board before selling their shares. Changes to the declared terms or the capital structure before the first annual general meeting had to be filed within 35 days of that meeting, and the Board published them in a national newspaper. Investors could inspect the information the Board held on payment of a fee. Source accessed 2026-10-25 Rules 17-21, PDF pp.11-16
