What does it do?

  • This 2083 Act sets up an Alternative Development Finance Fund to raise money outside the regular budget for large projects. The Fund may issue bonds and other debt, equity or mixed instruments; borrow for specific projects with guarantees from the government or international financial institutions; set up guarantee funds and investment funds; create a remittance fund for Nepalis working abroad and a sovereign diaspora fund for non-resident Nepalis and foreign citizens of Nepali origin; monetise public assets; and run a fund of funds for infrastructure. The Act takes effect 91 days after authentication. Nepal Law Commission Section 1(2), p. 1; Section 3, pp. 2–3; Section 6, p. 5
  • The money may go only to projects in listed sectors (energy and transmission, roads, railways, airports, tunnels, SEZs and industrial parks, dry ports, IT parks, urban and digital infrastructure, cable cars, irrigation, fertiliser and farm-machinery factories, mining, commercial agriculture and livestock, and forest-product processing) that are in the national project bank, the government's annual programme, recommended by the Investment Board for public-private partnership, or found viable by the Fund itself. Projects costing under Rs 1 billion, with low expected returns, without adequate collateral, run by individuals, or linked to the Fund's directors or chief executive in the previous three years are excluded. Nepal Law Commission Section 4, pp. 3–4; Section 5, pp. 4–5
  • The Fund is an autonomous corporate body with authorised capital of Rs 100 billion and paid-up capital of Rs 25 billion. The government holds 51% of the shares, retirement funds (Employees Provident Fund, Citizen Investment Trust and Social Security Fund) 25%, and life and non-life insurers 24%. A board chaired by the Finance Secretary, with ministry officials, shareholder representatives and two independent experts (at least one a woman), manages it through a chief executive on a performance contract. Nepal Law Commission Sections 7–8, pp. 5–6; Section 10, p. 9; Sections 19, 23, pp. 15–18
  • Government-guaranteed bonds issued by the Fund are treated like government bonds and may be listed and traded; banks' investment in its sectoral instruments counts toward their mandatory sector lending; and the cabinet may grant tax and other concessions to investors, with special concessions for instruments issued abroad or for green projects. The Fund takes project assets as collateral with first claim on them, and can take over a project that fails to repay. Giving the Fund false information or fake collateral is punishable by recovery of the loss, a fine of double that amount and up to two years in prison; the Finance Ministry supervises and may give directions, and the Fund must be independently evaluated periodically. Nepal Law Commission Sections 28–32, pp. 22–24; Sections 45–47, pp. 28–29; Sections 51, 54, p. 30
