Act Amending Some Nepal Acts on Improving the Economic and Business Environment and Promoting Investment, 2081 BS

What does it do?

• This omnibus Act amends eleven economic laws: the Foreign Exchange (Regulation) Act, 2019; the Revenue Tribunal Act, 2031; the Black Marketing and Some Other Social Offences and Punishment Act, 2032; the Revenue Leakage (Investigation and Control) Act, 2052; the Arbitration Act, 2055; the Companies Act, 2063; the Banks and Financial Institutions Act, 2073; the Special Economic Zone Act, 2073; the Foreign Investment and Technology Transfer Act, 2075; the Public-Private Partnership and Investment Act, 2075; and the Industrial Enterprises Act, 2076. • Nepali companies may now invest abroad in defined cases: industries exempted from the 2021 ban on investing abroad, information-technology industries, and foreign-currency earnings from technology transfer, under conditions and sector limits set publicly by Nepal Rastra Bank. Employees of Nepali subsidiaries can receive shares under a foreign parent's employee share plan if no foreign currency leaves Nepal. • In revenue-leakage cases, the arrest-to-court period is clarified (24 hours excluding travel), the case-value threshold rises from Rs 50 lakh to Rs 3 crore in several provisions, and cases can be settled at any stage, including after judgment, if the defendant pays the amount and fine, which cancels the recorded prison sentence (cases may also be withdrawn except where revenue was evaded deliberately). • Banks may lend against a public-private partnership project agreement as collateral and gain 'step-in' rights if a PPP project runs into trouble. Special economic zone licensees must sign agreements within set deadlines, and a new item 11 in the Foreign Investment Act's schedule (list of restricted sectors) covers foreign investment above set limits in airline, aviation training, maintenance and travel-service industries (for example 80% for international airlines and 49% for domestic airlines). Under the Industrial Enterprises Act, unregistered industries already operating may register within one year by paying the set fine.
