What does it do?
- The Act creates a single legal framework for loans secured by movable property, to encourage lending and economic activity. It covers any transaction that creates a security interest in movable property (including hypothecation of goods), sales of receivables and leases of goods, whatever the parties' contract says, where the collateral is in Nepal or the debtor is based in Nepal. Nepal Law Commission, Government of Nepal Preamble; Section 3, pp. 8–10
- The government sets up a Secured Transactions Registry, run by a registrar, where creditors file public notices of their security interests; notices can be amended, continued or ended, searching records electronically is free, and filing fees are set by rules. Filing a notice determines priority among competing creditors. Nepal Law Commission, Government of Nepal Sections 4–19, pp. 10–20; Sections 36–45, pp. 29–35
- A security interest can secure present, future and conditional debts up to a stated maximum, and stays valid even if the debtor keeps using or selling the collateral; it continues into proceeds. If the debtor defaults, the creditor may take possession of the collateral without going to court (if it can be done peacefully), sell it, collect receivables directly, and must return any surplus to the debtor, who remains liable for any shortfall. Nepal Law Commission, Government of Nepal Sections 20–35, pp. 20–29; Sections 47–51, pp. 36–41
- Creditors who fail in their duties are liable for resulting loss, obstructing enforcement of a security interest gives the creditor remedies, and the government is plaintiff in offences under the Act. Courts designated by the government on the Judicial Council's advice hear cases. Nepal Law Commission, Government of Nepal Section 2(क), p. 1; Sections 49 and 54–56, pp. 38–43
