What does it do?
- This is a framework Act for running communication services through public corporations. Where it is useful for national interest and public knowledge, information, entertainment, convenience or economic welfare, the government may by Gazette notice create a communication corporation, stating its name, head office and objectives, and may later change them. Each corporation is an autonomous body that may open branches with government approval. Nepal Law Commission, Government of Nepal Preamble; Sections 3–5, pp. 2–4
- The government holds at least 51% of each corporation's shares, up to 25% may be offered to employees (who cannot sell them while employed) and the rest to the public; shareholders must be Nepali citizens or Nepal-registered bodies unless the government approves. A five-member board (the general manager, one director elected by private shareholders, one government nominee for its shares, one government-nominated expert and one elected by employee shareholders) runs it for four-year terms, with government nominees standing in until elections are held. Nepal Law Commission, Government of Nepal Sections 6–7, p. 4; Sections 9–10, pp. 5–6
- Corporations need government approval for certain property and loan decisions, must submit programmes, hold general meetings, keep accounts and be audited, and distribute profits as set. The government may give binding directions, order inquiries into a corporation's work and deals with it through the relevant ministry; officials must take an oath of secrecy, and the Act sets penalties for breaches. Nepal Law Commission, Government of Nepal Sections 19–31, pp. 9–14; Section 33, p. 15
